CANADA'S TOTAL MOM PITCH

Program Summary

Canada's Total Mom Pitch is a pitch competition for mom-identifying entrepreneurs in Canada. It is run by Sinclair Creative Agency Inc. (“SCA”), the organizer, under licence from Total Mom Inc., which owns the brand. This is a plain-language summary. The Official Contest Rules are the full and governing terms, and they apply if anything here differs from them.

Who can enter

To enter, at the time of entry you must be:

a legal resident of Canada who has reached the age of majority in her province or territory of residence (Quebec residents are not eligible);

a self-identifying woman entrepreneur who has been a caregiver at some point and considers herself mom-identifying (including step-mom, grandmother, or adoptive mother);

an owner or operator of your own business, or someone who intends to operate within the Canadian market;

a business with current total annual sales under $2,000,000 CAD; and

not a Finalist in any previous Canada's Total Mom Pitch.

Your business must have at least one woman (either co-founder) actively running it. Entries are limited to one per person.

How to enter

Enter online at totalmompitch.ca. Entries by hardcopy or email are not accepted. The entry fee is paid online at the time of submission. If you choose to take part in the Recognition Awards, there is a separate entry fee for that.

The prize

There is one Grand Prize for the Winner:

A $10,000 CAD cash award, which is paid to you by SCA.

A package of products, services, mentorship, and other benefits worth roughly $40,000 CAD, provided directly by sponsors and partners. These sponsor benefits are delivered by the sponsors themselves. SCA helps coordinate them but does not guarantee them, and if a sponsor does not deliver a benefit, that is something to take up with the sponsor. Prize values are estimates and can vary.

Your information and privacy

Your genuine business and financial details (such as financial data, business performance, business plans, and proprietary business information) are seen only by the judges, mentors, and SCA team members involved in running and evaluating the contest. They are required to keep this information confidential. SCA will not make it public or share it with sponsors without your express permission.

Your name, business name, likeness, city and province, your participation in the pitch, and any promotional or marketing materials you submit may be used publicly to run and promote the program. You should expect that this kind of information may become public.

Judging

All judging is at the discretion of the judges, whose decisions are final. The judges may decide not to select a winner in a category if they feel the entries did not meet their standards.

CANADA'S TOTAL MOM PITCH

Official Contest Rules (the “Pitch Contest Rules”)

Please review these Pitch Contest Rules carefully. By submitting an entry to Canada's Total Mom Pitch (the “Pitch Contest”), submitting information to us, or using any of our content, you accept and agree to be bound by these Pitch Contest Rules, our Privacy Policy, and our Website Terms and Conditions. If you do not agree, you must not submit an entry, register an account, or use our website or contest registration page.

1. Pitch Contest Operator

Canada's Total Mom Pitch (the “Pitch Contest”) is operated by Sinclair Creative Agency Inc. (the “Pitch Operator” or “SCA”) under licence from Total Mom Inc. (“Total Mom”), the owner of the Canada's Total Mom Pitch brand and intellectual property. SCA is solely responsible for operating the Pitch Contest and for the obligations of the Pitch Operator under these Rules. The Pitch Operator's principal office is located at 64 Hurontario Street, Collingwood, Ontario L9Y 2L6.

2. Sponsors and Partners

Canada's Total Mom Pitch may be supported by various sponsors, partners, judges, advisors, mentors, media organizations, service providers, and community organizations (collectively, the “Sponsors” or “Program Partners”). Program Partners may change from time to time and may be added, removed, or replaced at the sole discretion of the Pitch Operator. A current list of participating sponsors and partners may be published on the Program website; however, the Pitch Operator does not guarantee the participation of any particular sponsor, partner, judge, mentor, advisor, prize provider, or organization.

3. Eligibility

This Pitch Contest is open to legal residents of Canada, excluding Quebec, who have reached the age of majority in their province or territory of residence at the time of entry, except for employees of the Pitch Operator, the Sponsors, and their respective parent, related, and affiliated companies, subsidiaries, departments or agencies, franchisees, suppliers, advertising and promotional agencies, contest administrators, and any other parties engaged in the development, production, or distribution of the Pitch Contest materials, and those living in the same household. By participating, entrants agree to be bound by these Pitch Contest Rules. Entrants who do not comply with these Rules are subject to disqualification at the Pitch Operator's sole discretion. Applicants must also meet the following Pitch eligibility requirements: be a self-identifying woman entrepreneur who has been a caregiver at some point and considers herself mom-identifying (including a step-mom, grandmother, or adoptive mother); be an owner or operator of her own business, or someone who intends to operate within the Canadian market; have a business with current total annual sales under $2,000,000 CAD; and not have been a Finalist in a previous Canada's Total Mom Pitch. The business must have at least one woman founder or co-founder actively running it. These Pitch-specific criteria do not determine eligibility for individual Business Awards categories, which have their own published criteria.

4. How to Enter

You can enter by submitting an online application form (the “Application Form”). Each Applicant must pay an administrative entry fee of thirty-five dollars ($35.00) plus applicable processing fees and taxes to submit an Application Form (the “Pitch Entry Fee”). Applicants who elect to participate in the Recognition Awards program must pay a separate Recognition Award entry fee of one hundred ninety-seven dollars ($197.00) plus applicable processing fees and taxes. Receipt of the Application Form occurs when the Pitch Operator's server records the entry information. All entries must be complete and must include the Pitch Entry Fee. All entries are subject to verification by the Pitch Operator at its sole discretion. Limit of one (1) entry per person. Incomplete entries will be disqualified. Payment is processed through the Stripe payment platform.

Any attempt or suspected attempt to use robotic, automatic, programmed, or otherwise illicit means to enter the Pitch Contest, or any methods not authorized by these Rules (for example, creating multiple accounts, identities, or registrations), all in the Pitch Operator's sole discretion, will be deemed tampering and may disqualify you. Entries that contain false or incomplete information are void. Entries that are late, lost, stolen, illegible, damaged, misdirected, mutilated, garbled, incomplete, altered, or otherwise irregular, or that do not satisfy all of the conditions of these Rules, are void. Proof of transmission does not constitute proof of entry or receipt.

5. Pitch Contest Dates and Times

Canada's Total Mom Pitch and the Recognition Awards Program (collectively, the “Program”) will operate according to the timeline published on the Program website, which may be updated from time to time at the sole discretion of the Pitch Operator.

6. The Process and Odds of Winning

Following the close of applications, eligible applications proceed to an initial SCA review for Top 100 selection. One hundred (100) applicants are selected as Semi-Finalists. Semi-Finalists advance to digital judging (Round 2), after which five (5) applicants are selected as Finalists. The Top 5 Finalists may be invited to participate in mentorship, media, promotional, educational, and Program-related activities leading up to the Awards Gala. At the Awards Gala on February 10, 2027, the Finalists present their businesses live before a panel of judges, who select one (1) Winner of Canada's Total Mom Pitch (the “Winner”). The odds of being selected as a Semi-Finalist, Finalist, or Winner depend on the number and quality of eligible applications received. All judging rounds are at the discretion of the judges, whose decisions are final and binding in all matters relating to the Program, including the interpretation and application of these Rules.

7. Grand Prize

There is one (1) Grand Prize awarded to the Winner of Canada's Total Mom Pitch.

Cash Award. The Grand Prize includes a cash award of ten thousand dollars ($10,000 CAD), which is paid to the Winner by SCA.

Sponsor Components. The Grand Prize also includes a package of products, services, promotional opportunities, mentorship, business support, and other benefits provided directly by sponsors and partners (the “Sponsor Components”), with an estimated aggregate value of approximately forty thousand dollars ($40,000 CAD). Each Sponsor Component is provided and fulfilled by the applicable sponsor or partner, not by SCA. SCA facilitates the Grand Prize but does not provide, guarantee, or warrant the delivery, quality, or availability of any Sponsor Component. If a sponsor or partner fails to deliver a Sponsor Component, the Winner's recourse for that component is against the applicable sponsor or partner, and SCA is not responsible for, and has no obligation to provide, replace, substitute, or fund, any undelivered Sponsor Component.

Prize Values and Substitution. Prize values are estimates only and may vary based on sponsor participation, market value, availability, timing, and other factors. SCA may, in its sole discretion, modify, substitute, or remove any Sponsor Component, and may but is not obligated to replace any Sponsor Component with one of comparable value. SCA has no obligation to provide, replace, or self-fund any Sponsor Component that a sponsor or partner does not deliver. All Prizes must be accepted as awarded and are non-transferable, non-refundable, and not redeemable for cash except where expressly stated by SCA. Certain Sponsor Components may be subject to additional terms, conditions, eligibility requirements, expiry dates, or restrictions imposed by the applicable sponsor or provider.

Responsibility for Sponsor Components. SCA is not responsible for any delay, modification, cancellation, substitution, non-delivery, or fulfillment issue relating to any Sponsor Component, whether or not within SCA's control. This Section does not limit SCA's responsibility to pay the cash award to the Winner.

8. Prize Delivery

SCA will coordinate delivery of the cash award and any Sponsor Components within a reasonable period following the Awards Gala and the winner confirmation process. Certain Sponsor Components may be delivered electronically, virtually, in person, by mail, by courier, or through direct coordination with the applicable sponsor or provider, and may require the Winner to complete additional documentation, verification, tax forms, onboarding materials, or agreements. The Winner is solely responsible for ensuring that all contact information remains accurate and up to date. SCA is not responsible for delays, failed deliveries, or forfeited Sponsor Components resulting from inaccurate, incomplete, outdated, or unavailable contact information provided by the Winner.

9. Winner Confirmation

The Pitch Operator will notify the Winner by email, mobile SMS, or other available communication medium. The Winner must sign and return the Pitch Operator's Declaration of Eligibility and Liability/Publicity Release (the “Winner Release”) and comply with all Rules, all at the Pitch Operator's sole discretion. The Pitch Operator must receive the signed Winner Release no more than seven (7) days from the date specified by the Pitch Operator. The Pitch Operator is not responsible for any failure of the Winner to receive notice, or for receiving the Winner's response.

10. Forfeiture

If the Winner does not or cannot accept the awarded Prize within thirty (30) days of receiving notice from the Pitch Operator that the Prize is ready for delivery or pick-up, the Prize may be forfeited.

11. Confidential Business Information and Public Information

Applicants submit two kinds of information:

Confidential Business Information. Genuine business and financial information, including financial data, business performance metrics, business plans, and proprietary business details (“Confidential Business Information”), is reviewed by the judges, mentors, and SCA team members involved in administering and evaluating the Pitch Contest. Each of them is required to keep that information confidential. SCA will not publicly disclose Confidential Business Information, and will not share it with sponsors or other third parties, without the Applicant's express permission.

Public Information. All other information in an entry, including the Applicant's name, business name, likeness, city and province of residence, pitch participation, and any promotional or marketing materials submitted (“Public Information”), may be used publicly as described in these Rules. Applicants should expect that Public Information may become public.

12. Certification and Consent to Use of Public Information

Each Applicant certifies that the materials submitted in connection with the Program (including imagery, ideas, and intellectual property) are the Applicant's original work. Applicants retain the copyright and other intellectual property interests in their materials. Each Applicant acknowledges and irrevocably consents that the Applicant's Public Information may be reproduced, displayed, published (in print and digital formats), archived, and otherwise used by SCA, by Total Mom as brand owner, and by their respective partners, sponsors, and affiliates in connection with the Program, including on websites, social media platforms, podcasts, email newsletters, communications, and at hosted events. This Section applies to Public Information only and does not apply to Confidential Business Information, which is governed by Section 11.

13. User-Generated Content Licence

Applicants grant SCA, and any other administrator of the Pitch Contest, a non-exclusive licence to use any user-generated content submitted as part of an Application, or as reasonably requested by SCA during or after the Pitch Contest, including videos, photos, written submissions, designs, and audio-visual or other media, for the purposes of operating, promoting, marketing, and administering the Pitch Contest. This licence applies to Public Information and submitted promotional or marketing materials, and does not extend to Confidential Business Information.

14. Intellectual Property

All intellectual property relating to the Pitch Contest, including trademarks, logos, designs, promotional materials, web pages, source code, images, drawings, illustrations, slogans, and representations, is owned by Total Mom Inc. and used by SCA under licence, or is owned by the applicable Sponsor. Unauthorized copying or use of any such intellectual property without express written consent is strictly prohibited.

15. Pitch Operator Not Responsible

The Pitch Operator is not responsible for: incorrect or inaccurate entry information, including human error, technical malfunctions, and lost or delayed entries; technical failures of any kind; lost, incomplete, delayed, mutilated, or misdirected entries or Winner Releases; injury or damage to entrants' computers related to participating in the Pitch Contest; any injury or damage to persons or property caused, directly or indirectly, by an Applicant's participation or the receipt, use, or misuse of a prize; the security or privacy of information transmitted via computer networks; or breaches of privacy of any third-party applications or software used for the Pitch Contest. Applicants are responsible for informing themselves of any third-party privacy policies, terms, and conditions.

16. Winner Release and Indemnification

The Winner must sign the Pitch Operator's Winner Release to confirm compliance with these Rules, agree to accept the Prize as awarded, release the Released Parties (as defined in the Winner Release), and indemnify the Released Parties as set out in the Winner Release.

17. Applicant Release and Indemnification

All Applicants (whether or not successful) agree to release, discharge, and hold harmless, jointly and severally, the Pitch Operator, Total Mom, the Sponsors, and their respective departments, agencies, parent, related, and affiliated companies, subsidiaries, franchisees, advertising and promotional agencies, counsel, marketing partners, and each of their respective directors, officers, employees, shareholders, successors, sponsors, partners, licensees, agents, advisors, and assignees, and all others associated with the administration, development, and execution of the Pitch Contest (the “Released Parties”), from and against any and all claims, causes of action, demands, losses, or injuries, including legal fees, arising from the Applicant's participation in the Pitch Contest, including claims based on negligence, breach of contract, failure of any third-party contractor or supplier (including any sponsor or partner) to perform or deliver any goods or services, any act of God or event beyond the Released Parties' control, and any liability for physical injury, death, or property damage. Applicants further agree to indemnify the Released Parties against any loss, damage, or expense, including legal fees, arising from any non-compliance by the Applicant with these Rules or the Applicant's participation in the Pitch Contest.

18. Other Conditions

The Pitch Operator reserves the right to terminate or amend this Pitch Contest at any time and in any way, without prior notice. If, for any reason, the Pitch Contest is not capable of running as planned, the Pitch Operator reserves the right to cancel or reschedule it. Where the Pitch Operator cancels the Pitch Contest prior to Judging Round 2, any Applicant may, within five (5) business days, request a refund or rebate of their Pitch Entry Fee; a rebate will be applied to a future pitch contest organized by the Pitch Operator.

19. Publicity and Entrant Information

By participating, Applicants consent to the use of their Public Information, including name, city and province, social media handle, comments, and image (whether on video, photograph, or other means), for the administration, marketing, and promotion of the Pitch Contest by SCA, by Total Mom as brand owner, and by the Sponsors, without further notice or compensation. This Section applies to Public Information only and does not apply to Confidential Business Information.

20. Disputes Regarding Identity

If the identity of an Applicant is disputed, the entry will be deemed submitted by the individual assigned to the email address entered at the time of entry (the Authorized Account Holder). The Pitch Operator may require proof that an Applicant is the Authorized Account Holder, and may request additional information it reasonably considers necessary for the proper administration of the Pitch Contest.

21. No Social Media Endorsement

This promotion is in no way sponsored, endorsed, or administered by, or associated with, any social media platform used by the Pitch Operator in the course of this Pitch Contest.

22. Governing Law

This Pitch Contest is void where prohibited by law and is subject to all applicable Canadian federal, provincial, territorial, municipal, and local laws. It is governed exclusively by the laws of the Province of Ontario, without giving effect to any choice or conflict of law rules. Any dispute will be adjudicated by the courts sitting in the City of Toronto, in the Province of Ontario.

23. Amendments

The Pitch Operator reserves the right, in its sole discretion, to amend or modify these Pitch Contest Rules, or to modify, cancel, or suspend this Pitch Contest, without prior notice, including where any cause beyond the Pitch Operator's reasonable control corrupts or threatens to corrupt the security or proper administration of the Pitch Contest.

Privacy Policy

1. About This Policy

This Privacy Policy explains how Sinclair Creative Agency Inc. (“SCA,” “we,” “us,” or “our”), as operator of the Canada's Total Mom Pitch contest (the “Pitch Contest”) under licence from Total Mom Inc., collects, uses, discloses, and protects personal information through the website totalmompitch.ca (the “Site”) and the Pitch Contest application process. We handle personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and other applicable Canadian privacy laws. This Policy should be read together with our Website Terms and Conditions and the Official Contest Rules.

2. Information We Collect

We may collect the following categories of personal information:

Identity and contact information, such as your name, business name, email address, telephone number, and city and province of residence;

Application information, including the business and financial information you provide in your application, such as financial data, business performance metrics, business plans, and proprietary business details (your “Confidential Business Information”), as well as promotional or marketing materials you submit;

Payment information. Entry fees are processed through Stripe, our third-party payment processor. We do not collect or store your full payment card details; Stripe handles payment information under its own terms and privacy policy; and

Website and technical information, such as your IP address, device and browser information, and usage data collected through cookies, Google Analytics, and tracking pixels. We use Flodesk for email newsletters and Google Workspace for communications and administration.

3. How We Use Your Information

We use personal information to:

administer, evaluate, and operate the Pitch Contest, including judging and selecting semi-finalists, finalists, and the winner;

communicate with you about your application and the Program;

process entry fees through Stripe;

market and promote the Pitch Contest and related programs, where you have consented;

operate, maintain, and improve the Site; and

comply with legal and regulatory obligations.

4. Consent

We collect, use, and disclose personal information with consent appropriate to the circumstances and as permitted by applicable law. Application consents explain the uses connected with participating in the Pitch Contest. Marketing communications and optional partner contact-sharing are separate choices; declining or withdrawing those optional consents does not affect eligibility or judging. You may withdraw marketing consent at any time by unsubscribing or contacting us. Withdrawing consent to information uses necessary to administer your application may affect our ability to process or continue your participation. We will explain the consequences of such a withdrawal.

5. Confidential Business Information

Your Confidential Business Information is treated as confidential. It is reviewed only by the judges, mentors, and SCA team members involved in administering and evaluating the Pitch Contest, each of whom is required to keep it confidential. We will not publicly disclose your Confidential Business Information, and we will not share it with sponsors or other third parties, without your express permission. Your name, business name, likeness, city and province, pitch participation, and submitted promotional or marketing materials are treated as Public Information under the Official Contest Rules and may be used as described in those Rules.

6. How We Disclose Your Information

We may disclose personal information:

to service providers who perform services on our behalf, including Awardify for application administration, Google Workspace for document storage and communications, Stripe for payments, Flodesk for newsletters, and our website and analytics providers, who are authorized to use the information only as needed to provide their services;

to sponsors and partners, limited to Public Information, or with your express permission for any other information;

as required or permitted by law, including in response to a valid order of a court or governmental authority; and

in connection with a reorganization, sale, or transfer of our business or assets, subject to appropriate confidentiality protections.

7. Storage and Cross-Border Processing

Application information is stored and administered through Awardify and Google Workspace. We also use Stripe for payment processing and Flodesk for email newsletters. Some service providers may store or process personal information outside Canada, including in the United States, where it may be subject to the laws of those jurisdictions. A provider being a Canadian company does not mean that all information is stored or processed exclusively in Canada.

8. Retention

We retain personal information only as long as necessary to fulfil the purposes described in this Policy and comply with our legal obligations. Application information will generally be retained for up to 24 months following the conclusion of the competition. Winner records needed for tax and compliance purposes will be retained for up to seven years. Information may be retained longer where required by law or necessary to address an outstanding dispute. When information is no longer required, it will be securely deleted or anonymized.

9. Safeguards

We maintain reasonable administrative, technical, and physical safeguards designed to protect personal information against loss, theft, and unauthorized access, use, or disclosure, appropriate to the sensitivity of the information. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

10. Your Rights

Subject to applicable law, you have the right to access the personal information we hold about you and to request the correction of inaccurate or incomplete information. To make a request, please contact us using the information below. We may need to verify your identity before responding.

11. Cookies and Analytics

The Site uses Google Analytics and may use cookies and tracking pixels to understand website visits, measure campaign performance, and support marketing. These technologies may collect device and browser information, IP addresses, pages visited, and interactions with links or campaigns. We obtain consent where required by applicable law. You can manage cookies through your browser settings; disabling cookies may affect how the Site functions. 12. Children

The Site and the Pitch Contest are intended for adults who are the age of majority in their province or territory of residence. We do not knowingly collect personal information from children.

13. Changes to This Policy

We may update this Privacy Policy from time to time. The updated Policy will identify its revision date. Where a change introduces a new use or disclosure that requires consent, we will provide notice and obtain the required consent before applying that change.

1. About These Terms

The website totalmompitch.ca (the “Site”) is operated by Sinclair Creative Agency Inc. (“SCA,” “we,” “us,” or “our”) under licence from Total Mom Inc., the owner of the Canada's Total Mom Pitch brand. These Website Terms and Conditions (the “Terms”) govern your access to and use of the Site. By accessing or using the Site, you agree to be bound by these Terms, our Privacy Policy, and, if you apply to the Canada's Total Mom Pitch contest (the “Pitch Contest”), the Official Contest Rules. If you do not agree to these Terms, you must not access or use the Site.

2. The Pitch Contest Rules Govern the Contest

The Site allows you to learn about the Pitch Contest and to submit an application to it. The Pitch Contest itself, including eligibility, entry, judging, prizes, releases, and the use of your information, is governed by the Official Contest Rules. These Terms govern only your use of the Site. If anything on the Site or in these Terms conflicts with the Official Contest Rules in relation to the Pitch Contest, the Official Contest Rules govern.

3. Eligibility to Apply

Eligibility to enter the Pitch Contest is determined by the Official Contest Rules. The Site and any application functionality are intended for persons who are the age of majority in their province or territory of residence. The Site is not directed to children.

4. Applications and Payment

Applications to the Pitch Contest are submitted through the online application form made available on or through the Site. Entry fees are payable online at the time of submission and are processed through Stripe, a third-party payment processor. We do not collect or store your full payment card details; those are handled by Stripe under its own terms and privacy policy. Your use of Stripe is subject to Stripe's terms and policies, and you are responsible for reviewing and complying with them. Entry fees are subject to the Official Contest Rules, including any refund provisions in those Rules.

5. Acceptable Use

You agree that you will not:

use the Site for any unlawful purpose or in violation of any applicable law;

submit any application or content through the Site by robotic, automated, programmed, or other illicit means, or create multiple accounts, identities, or registrations, which will be treated as tampering under the Official Contest Rules;

scrape, harvest, or collect information from the Site, or attempt to gain unauthorized access to the Site or its related systems;

interfere with or disrupt the Site, introduce malicious code, or attempt to circumvent any security feature; or

infringe the intellectual property or other rights of SCA, Total Mom Inc., any sponsor, or any third party.

6. Intellectual Property

The Site and its contents, including text, graphics, logos, images, designs, and the Canada's Total Mom Pitch and Total Mom marks, are owned by Total Mom Inc. and used by SCA under licence, or are owned by the applicable sponsor or licensor. You may not copy, reproduce, modify, distribute, or use any Site content or marks without our express prior written consent, except as needed for your own permitted use of the Site to learn about and apply to the Pitch Contest.

7. Your Submissions

Any materials or content you submit through the Site as part of an application, including business and financial information, are governed by the Official Contest Rules and our Privacy Policy. As set out in the Official Contest Rules, your genuine business and financial information is treated as Confidential Business Information and is kept confidential, while your name, business name, likeness, city and province, pitch participation, and submitted promotional or marketing materials are treated as Public Information and may be used as described in the Rules. The licence you grant in respect of your submitted content is set out in the Official Contest Rules and applies to Public Information and submitted promotional or marketing materials, not to Confidential Business Information.

8. Third-Party Links and Services

The Site may contain links to, or rely on, third-party websites, applications, or services, including Stripe and social media platforms. We do not control and are not responsible for the content, terms, privacy practices, or availability of any third-party website, application, or service. You are responsible for reviewing and complying with the terms and policies of any third party. Any dealings you have with a third party through the Site are solely between you and that third party.

9. Disclaimer

The Site is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. To the fullest extent permitted by law, we disclaim all such warranties.

10. Limitation of Liability

To the fullest extent permitted by law, in no event will SCA, Total Mom Inc., or their respective directors, officers, employees, agents, sponsors, partners, successors, or assigns be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or relating to your access to or use of, or inability to access or use, the Site, whether based in contract, tort (including negligence), statute, or any other theory, and whether or not we have been advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless SCA, Total Mom Inc., and their respective directors, officers, employees, agents, sponsors, and partners from and against any claim, loss, liability, or expense, including reasonable legal fees, arising from your use of the Site, your breach of these Terms, or your violation of any law or the rights of any third party.

12. Privacy

Our collection, use, and disclosure of personal information through the Site and the application process are described in our Privacy Policy, which forms part of these Terms.

13. Changes to the Site and These Terms

We may modify, suspend, or discontinue the Site or any part of it at any time, and we may amend these Terms from time to time. Changes are effective when the updated Terms are posted on the Site. Your continued use of the Site after changes are posted constitutes your acceptance of the amended Terms.

14. No Social Media Endorsement

The Pitch Contest and the Site are in no way sponsored, endorsed, or administered by, or associated with, any social media platform used by SCA in connection with the Pitch Contest.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without giving effect to any choice or conflict of law rules. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the courts sitting in the City of Toronto, in the Province of Ontario.

The following consents form part of your application to Canada's Total Mom Pitch, which is operated by Sinclair Creative Agency Inc. (“SCA”) under licence from Total Mom Inc. These consents should be read together with the Official Contest Rules and the Privacy Policy.

Terms, Privacy, and Program Rules (Required)

I agree to the Official Contest Rules and the Privacy Policy, and I understand that submitting an application does not guarantee selection as a semi-finalist, finalist, recipient, or award winner.

Communications and Partner Consent (Optional)

☐ I consent to receiving communications from SCA (the organizer) and Total Mom Inc., and from program sponsors and partners that are disclosed to me. I understand that SCA may share my basic contact information (such as my name and email) to connect me with relevant opportunities, resources, products, and services. My Confidential Business Information, including financial information, business performance metrics, business plans, and proprietary business details, will remain private. It is seen only by the judges, mentors, and SCA team members involved in running and evaluating the contest, who are required to keep it confidential, and it will not be shared with sponsors or other third parties without my express permission. I may withdraw my consent to communications at any time by unsubscribing from future communications. This consent is optional. Declining or withdrawing it will not affect my eligibility or judging. Media Release and Publicity Consent (Required)

DECLARATION OF ELIGIBILITY AND LIABILITY/PUBLICITY RELEASE

Canada's Total Mom Pitch (the “Winner Release”)

I make this declaration with the understanding that it will be relied upon to confirm my eligibility in the Canada's Total Mom Pitch contest (the “Pitch Contest”), which is operated by Sinclair Creative Agency Inc. (the “Pitch Operator” or “SCA”) under licence from Total Mom Inc.

I declare that I have read, understood, and complied with the Official Contest Rules (the “Pitch Contest Rules”), a copy of which was included with my original application and can be provided on request; that all of the information below is true; and that I have committed no fraud or deception in entering the Pitch Contest or claiming the Prize.

I further declare that I am the age of majority in the province or territory in Canada in which I reside, and that I am not an employee of the Pitch Operator or the Sponsors, or of their respective parent, related, or affiliated companies, departments, subsidiaries, franchisees, suppliers, advertising and promotional agencies, or contest administrators, or any other party engaged in the development, production, or distribution of the Pitch Contest materials, or a person living in the same household as any of the foregoing, none of whom are eligible to enter the Pitch Contest or win a Prize.

1. Acknowledgement Regarding the Prize

I understand that the cash award is paid to me by SCA, and that the other prize components are provided directly by sponsors and partners (the “Sponsor Components”). I understand that SCA does not guarantee the delivery, quality, or availability of any Sponsor Component, and that my recourse for any Sponsor Component is against the applicable sponsor or partner.

2. Agreement

In consideration of the Prize, which I acknowledge is good, valuable, and sufficient consideration, I agree as follows:

I accept the Prize as awarded.

I release, discharge, and hold harmless the Pitch Operator, Total Mom Inc., the Sponsors, and each of their respective departments, agencies, parent, related, and affiliated companies, subsidiaries, franchisees, advertising and promotional agencies, counsel, marketing partners, and each of their respective directors, officers, employees, shareholders, successors, sponsors, partners, licensees, agents, advisors, and assignees, and all others associated with the administration, development, and execution of the Pitch Contest (the “Released Parties”), from and against any and all claims, causes of action, demands, losses, or injuries, including legal fees, arising from my participation in the Pitch Contest and the acceptance or use of the Prize, including claims based on negligence, breach of contract, failure of any third-party contractor or supplier (including any sponsor or partner) to perform or deliver any goods or services, any act of God or event beyond the Released Parties' control, and any liability for physical injury, death, or property damage.

I indemnify the Released Parties against any loss, damage, or expense, including legal fees, that any of them may suffer or incur as a result of any non-compliance by me with the Pitch Contest Rules, or my participation in the Pitch Contest, or the acceptance or use of the Prize.

I grant the Pitch Operator, Total Mom Inc., and the Sponsors, and their respective agents, representatives, and marketing partners, a non-exclusive licence to print, publish, broadcast, and use worldwide in any media, now known or later developed, my name, likeness, portrait, picture, photograph, voice, video footage, and biographical information (name, city, and province/territory of residence and image), as is or as edited, for the purpose of administering, advertising, promoting, or marketing the Pitch Contest, without further compensation or review by me. This licence applies to my Public Information as described in the Pitch Contest Rules and does not apply to my Confidential Business Information.

I will return on demand to the Pitch Operator any Prize awarded to me if any statement I made in this Winner Release is false, or if I have failed to comply with any of the Pitch Contest Rules, all as determined in the sole discretion of the Pitch Operator.

I understand that SCA will make every reasonable effort to deliver the Prize in a timely manner, but cannot guarantee a specific delivery timeline due to potential issues including time constraints, supplier issues, and other unforeseen events.
